Description
We are seeking a project-based senior-level contract specialist or paralegal for our Virtual Paralegal Service team. This is a 1099 remote/virtual position. Multi-state experience is preferred, but not required. The successful candidate will provide a variety of paralegal contract management services to existing and new clients. Experience drafting and redlining contract agreements is required.

- Coordinate necessary approvals, obtain signatures, prepare executive summaries of new contracts
Skills
- Abstract contracts, build playbooks, review and redline contracts using track changes in MS Word v10 or higher
- REQUIRED EXPERIENCE – Draft and redline contract agreements using track changes in Word – deleting, modifying, and adding language – in many cases offering alternative language and being creative.
- Communicate regularly with the Practice Area Director/Manager to discuss challenges, and successes and share client activity
- Continually develop subject matter expertise
- Maintain performance standards by ensuring availability as necessary to fulfill client-requested needs; ensuring excellent work quality and efficiency; and fulfilling expectations on all essential duties and responsibilities
- Prepare contractual agreements using current research methods and gain knowledge of a client’s needs and have the ability to fulfill its requirements

Description
The successful candidate must have an excellent working knowledge of all business entities from formation through dissolution and transactional work, including mergers, acquisitions, stock purchases, and asset purchase transactions.

The litigation team has extensive experience setting up cases, drafting, docketing, calendaring, and managing a significant volume of cases. This team provides assistance in other practice areas of great benefit and include Bankruptcy, Business and Civil Litigation, Family Law, Insurance Defense, Labor and Employment Law, Trust & Estates, Probate, and more.

Skills
- Manage high volume civil litigation cases, business litigation, and cases in several other practice areas through delegation of assignments and tracking of multiple tasks related to a specific matter

- Assist in drafting pleading, notices, and discovery responses
- Provide administrative assistance to attorneys, including managing calendars/deadlines
- Schedule, confirm, and assist attorneys in preparation for depositions

- Manage and assist with basic and advanced foreign jurisdiction-related research, analysis, and filings
- Maintain knowledge of up-to-date practices regarding foreign jurisdictions and basic filing procedures, both manual and electronic
- Ensure all compliance matters are monitored and maintained within company approved protocols

Description
Our Fund Services team has working knowledge to ensure funds remain in compliance with federal and state obligations. This team aids with fund formations, fund compliance, SEC reporting, and entity management.
- Carry out private fund management, Form D, 506 Exemptions, Reg A, Reg D, state level securities research, etc.
- Manage and assist with basic and advanced Blue Sky-related research, analysis and filings
- Maintain knowledge of up-to-date practices regarding Blue Sky laws and basic filing procedures, both manual and electronic
- Ensure all compliance matters are monitored and maintained within company approved protocols
- Comply with and understand company operation, policies and procedures
- Keep confidentiality of client and client’s client matters
